This page governs use of the public website and the operator application; it is **not** the signed customer agreement between Corvlyx and a licensed agency (see \"Related documents\" below).\n\n---\n\n## Introduction\n\nThese Terms of Service (\"**Terms**\") govern access to and use of:\n\n- the Corvlyx marketing website and inquiry forms (`corvlyx.com`);\n- the operator application (Lead Operations, Financial OS, and Marketing modules); and\n- the APIs, webhooks, and integrations connected to a Corvlyx deployment.\n\nCorvlyx (\"**we**\", \"**us**\", \"**our**\") is a **software vendor**, not an insurance company, agency, or broker, and does not sell insurance products to consumers. By using the Service you agree to these Terms. If you are using the Service on behalf of an agency or other organization, you represent that you are authorized to accept these Terms for that organization (\"**Customer**\").\n\n---\n\n## 1. The Service\n\nCorvlyx provides software tools for lead intake, compliant outbound calling, messaging, and financial-client review. The Service includes features designed to help Customer apply certain calling-time, consent, and do-not-call restrictions. **The Service is a tool, not a compliance certification.** We make no representation that use of the Service results in compliance with the Telephone Consumer Protection Act, any state telemarketing or telephone solicitation law, the FTC Telemarketing Sales Rule, insurance producer licensing requirements, or any other applicable law. Customer is solely responsible for determining what consent, licensing, registration, and do-not-call obligations apply to its business and for satisfying them independently of, and in addition to, anything the Service automates.\n\n## 2. Accounts and access\n\nToday's deployment model uses one shared operator login per deployment rather than individual per-user accounts (see our Privacy Policy for how this affects data access). Customer is responsible for safeguarding login credentials, API keys, and any tokens issued to connect third-party integrations, and for all activity that occurs under them. Notify us promptly of any suspected unauthorized access.\n\n## 3. Acceptable use\n\nYou agree not to use the Service to:\n\n- place calls or send messages without the consent, licensing, or do-not-call clearance required by applicable law;\n- violate any telemarketing, telephone consumer protection, insurance licensing, or data privacy law;\n- attempt to reverse-engineer, disassemble, or bypass the compliance gates built into the calling and messaging paths;\n- share API keys or session credentials outside your organization; or\n- use the Service to transmit unlawful, fraudulent, or deceptive content.\n\nWe may suspend or terminate access on reasonable belief that an account is being used in a manner that violates this section.\n\n## 4. Fees and plans\n\nFees for paid plans (Core, Studio, or a custom scope) are as agreed at signup or in a separate order form. Third-party telephony (Twilio) and AI model usage are billed as pass-through where applicable. Fees are non-refundable except as required by law or as separately agreed in writing.\n\n## 5. Third-party services\n\nThe Service integrates with third-party providers you may choose to connect, including Twilio, SendGrid, Google (Calendar, Gmail), and Meta (Facebook Lead Ads, Instagram, WhatsApp). Your use of those providers is subject to their own terms. We are not responsible for the availability, accuracy, or acts or omissions of third-party providers.\n\n## 6. Intellectual property\n\nCorvlyx and its licensors retain all right, title, and interest in the Service, including its software, design, and documentation. These Terms do not grant Customer any ownership interest in the Service. Customer retains ownership of the lead, client, and business data it submits to the Service.\n\n## 7. Disclaimers\n\nTHE SERVICE IS PROVIDED \"AS IS\" AND \"AS AVAILABLE,\" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY THAT THE SERVICE WILL RESULT IN OR ENSURE COMPLIANCE WITH ANY TELEMARKETING, TELEPHONE CONSUMER PROTECTION, DATA PRIVACY, OR INSURANCE LICENSING LAW.\n\n## 8. Limitation of liability\n\nTO THE MAXIMUM EXTENT PERMITTED BY LAW, CORVLYX WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO USE OF THE SERVICE. Our aggregate liability for any claim arising out of these Terms is limited as specified in a signed customer agreement where one exists, or otherwise to the amount paid by Customer for the Service in the twelve (12) months preceding the claim.\n\n## 9. Indemnification\n\nCustomer agrees to indemnify and hold Corvlyx harmless from claims arising out of Customer's use of the Service in violation of these Terms or applicable law, including claims arising from calls or messages placed without required consent or licensing.\n\n## 10. Termination\n\nEither party may terminate access to the Service as specified in a signed customer agreement, or, absent one, with reasonable notice. We may suspend access immediately for a suspected violation of Section 3.\n\n## 11. Governing law\n\nThese Terms are governed by the laws applicable to Corvlyx's jurisdiction of formation and principal place of business, without regard to conflict-of-laws principles, except where a signed customer agreement specifies otherwise.\n\n## 12. Changes to these Terms\n\nWe may update these Terms to reflect product, legal, or operational changes. We will post the new effective date here. Material changes will be communicated through reasonable channels (email, in-app notice, or contract amendment) to existing customers.\n\n## 13.
